How it works

A proforma invoice is a pre-sale commitment of price, scope, taxes and terms. It is not a tax invoice under section 31 of the CGST Act, so it does not trigger output GST liability and the buyer cannot claim input tax credit on it. The proforma must clearly say “PROFORMA INVOICE”, show validity (usually 7–30 days), and be replaced with a regular tax invoice once goods are dispatched or services delivered.

Worked example

A Mumbai SaaS firm quotes a Bengaluru client (different state) ₹1,00,000 for annual licence + ₹20,000 implementation. IGST at 18% on ₹1,20,000 = ₹21,600; total ₹1,41,600. Proforma is sent on 5 May 2026, valid 15 days, with 50% advance terms. Once the advance lands and work begins, the firm raises a GST tax invoice with a fresh sequential number, and reports it in GSTR-1 for May.

Difference between proforma and tax invoice?

A proforma invoice is a pre-supply quote / commitment with prices and terms — not a tax document. The tax invoice is raised on or after supply, includes GSTIN/HSN per Rule 46, and is the document the buyer claims input tax credit on.

Can I take payment on a proforma invoice?

Yes, this is the standard reason for issuing one. When goods/services are supplied, you must replace it with a proper tax invoice for GST compliance.

Does a proforma invoice need an invoice number?

It needs a unique reference (e.g., PI-2026-0001) for your records, but it does not consume a tax-invoice serial. Keep proforma and tax-invoice number series separate.
